NUUR RITUALS Terms & Conditions

1. About these Terms

These Terms & Conditions (the "Terms") govern your access to and use of the website, Shopify store, mobile pages, social-commerce channels, online marketplaces and any other online sales channel operated or authorized by NUUR RITUALS Trading CO. L.L.C S.O.C (collectively, the "Website" or "Online Store").

NUUR RITUALS is the trading brand and online store operated by NUUR RITUALS Trading CO. L.L.C S.O.C, a Dubai-licensed limited liability company - single owner. In these Terms, "NUUR RITUALS", "we", "us", "our" or the "Company" means NUUR RITUALS Trading CO. L.L.C S.O.C.

By accessing the Website, creating an account, placing an order, paying for products, subscribing to any service, interacting with our online channels, or otherwise using our services, you agree to be bound by these Terms and by the policies referenced in them, including our Privacy Policy, Cookies Policy, Shipping & Delivery Policy, Return & Refund Policy, Product Safety, Food & Allergen Notice and Legal Notice.

If you do not agree to these Terms, you must not use the Website, place an order or use any NUUR RITUALS online service.

2. Legal operator and online-only business model

The seller and contracting party for orders placed through the Website is NUUR RITUALS Trading CO. L.L.C S.O.C. The Company operates as an online commerce business. Unless we expressly state otherwise at checkout or in writing, we do not operate a customer-facing physical retail store, showroom or walk-in collection point.

Any registered address, office address, business-center address, licence address or corporate address published by us is provided for legal identification, licensing, invoicing, regulatory and correspondence purposes only. Customers must not attend that address for purchases, returns, exchanges, complaints, refunds or collections unless we expressly authorize this in writing.

No customer contracts with, or has any claim against, the Company's shareholder, owner, manager, director, officer, employee, contractor, adviser, supplier, manufacturer, packer, fulfilment partner, payment processor, platform provider or courier in their personal capacity. To the fullest extent permitted by applicable law, all customer rights and obligations are against the Company only.

3. Eligibility and customer responsibility

You must be at least 18 years old, or the age of legal majority in your country of residence, to place an order. By placing an order, you confirm that you have legal capacity to enter into a binding contract and that all information provided by you is true, complete, current and not misleading.

You are responsible for maintaining the confidentiality of your account login details, for all activity under your account, and for ensuring that your billing details, delivery address, phone number, email address, customs details and recipient information are accurate.

If you use the Website on behalf of a company, organization or another person, you confirm that you are authorized to bind that person or entity to these Terms.

4. Our products

NUUR RITUALS sells coffee, tea, tea infusions, related packaged food products, tins, packaging formats, accessories, bundles, gift items and other products that we may offer from time to time through authorized online channels.

Our coffee and tea products are food products. Product information may include ingredient lists, allergen notices, caffeine information, storage instructions, best-before dates, batch or lot references, brewing suggestions, flavor notes, origin information and other product-specific details. You must read all product information, product labels and product-page notices before purchase and before use.

Coffee and tea are natural products. Flavor, aroma, color, grind, texture, roast character, infusion strength, caffeine level and appearance may vary by batch, harvest, origin, processing, supplier, storage, handling and preparation method. Such natural variation is not a defect unless the product fails to meet mandatory legal requirements or the specific product description applicable to that batch.

Images, colors, design mockups, photography, dimensions and packaging illustrations are provided for guidance. Screen settings, photography, production tolerances, print processes and batch changes may affect the appearance of products, tins, labels and packaging.

5. Packaging, China manufacturing and NUUR RITUALS intellectual property

Our tins, labels, boxes, inserts, wrappers, printed components and other packaging materials may be designed by or for NUUR RITUALS and may be manufactured, printed, sourced or supplied by third-party manufacturers or factories, including manufacturers or factories located in China.

All designs, artwork, logos, brand assets, tin designs, label designs, packaging concepts, print files, visual systems, product names, slogans, website copy, photography, videos, recipes, blends, concepts, specifications and other intellectual property appearing on or relating to NUUR RITUALS products or the Website are owned by, licensed to, or controlled by NUUR RITUALS Trading CO. L.L.C S.O.C, unless expressly stated otherwise.

Third-party manufacturers, printers, packaging suppliers and factories are engaged for production, printing, sourcing or operational purposes only. No such third party receives ownership of NUUR RITUALS designs, brand assets, artwork, packaging concepts or intellectual property by manufacturing, printing, packing, supplying, handling or delivering any product or component.

You may not copy, reproduce, photograph for commercial use, scan, extract, imitate, modify, resell, distribute, reverse engineer, register, use as a trademark, use as a design right, manufacture from, or create derivative works from any NUUR RITUALS design, packaging, label, tin, artwork, website content or intellectual property without our prior written permission.

6. Third-party suppliers, Dubai packing and compliance documents

Coffee, tea, tea infusions, ingredients, packaging materials, tins and related components may be sourced, roasted, blended, processed, packed, labelled, inspected, stored, fulfilled or otherwise handled by licensed third-party suppliers, manufacturers, food establishments, packing facilities, logistics providers, couriers and service providers, including third-party suppliers in Dubai and third-party packing or food-handling entities in Dubai or elsewhere in the United Arab Emirates.

Where required, we rely on supplier declarations, facility approvals, health certificates, food safety documentation, product registrations, import/export documents, certificates of analysis, batch records, specifications, quality-control confirmations and other compliance documents provided by or relating to the relevant supplier, manufacturer, packer, facility or product batch.

Compliance documents may be product-specific, facility-specific, batch-specific, date-specific, supplier-specific or jurisdiction-specific. They do not create a direct contractual relationship between you and any third-party supplier, manufacturer, packer or facility, and they do not create any warranty beyond the warranties that cannot lawfully be excluded under applicable law.

References to third-party suppliers, manufacturers, factories, packing facilities, couriers, payment processors, platforms or service providers are operational disclosures only. Unless we expressly state otherwise, those third parties are not sellers to you and are not responsible to you for your order.

7. Food safety, allergens, caffeine and health disclaimer

You are responsible for checking the ingredient list, allergen information, caffeine information, storage instructions, best-before date, batch details and product condition before using any product.

Products may contain or may have been handled in environments where allergens are present. Cross-contact may occur despite reasonable controls. If you have allergies, intolerances, sensitivities, medical conditions, dietary restrictions, pregnancy-related restrictions, caffeine sensitivity, medication interactions, or any uncertainty about consuming coffee, tea, botanicals or infusions, you should consult a qualified medical professional before purchase or use.

No information on the Website, product packaging, social media, marketing material or customer communication is medical, nutritional, therapeutic, pharmaceutical, dietetic or healthcare advice. Our products are not intended to diagnose, treat, cure or prevent any disease, condition or health issue.

Any references to ritual, energy, calm, focus, mood, wellbeing, lifestyle, taste, aroma, sensory experience or routine are general lifestyle and product-description references only and must not be interpreted as medical or therapeutic claims.

8. Orders and order acceptance

Placing an order does not automatically mean that we have accepted the order. Your order is an offer to purchase. We accept an order only when we confirm dispatch, fulfilment or acceptance by email or through the relevant platform.

We may refuse, cancel, suspend, limit or reverse any order, in whole or in part, at any time before dispatch or where legally permitted after dispatch, including where there is a pricing error, stock issue, product restriction, delivery restriction, customs issue, suspected fraud, payment issue, compliance concern, incorrect customer information, abusive behavior, system error, force majeure event, or other legitimate business reason.

If we cancel an order after payment and no product is delivered, we will refund the amount paid for the cancelled item, unless we are legally entitled to set off amounts owed to us, deduct non-refundable charges, or withhold amounts because of fraud, misuse or legal restrictions.

9. Prices, VAT, taxes and invoices

Prices are displayed in the currency shown at checkout and may vary by country, market, exchange rate, tax treatment, duties, shipping method, promotion, platform, payment method and availability.

Unless stated otherwise at checkout, product prices exclude shipping charges, delivery charges, customs duties, import taxes, customs-clearance fees, brokerage fees, remote-area surcharges, storage fees, payment-provider fees, bank charges and other charges imposed by third parties or authorities.

Where VAT or other sales tax is legally applicable, prices and invoices will be handled in accordance with applicable law and our tax registration status. If NUUR RITUALS is VAT registered, our tax registration number will be displayed where legally required: [insert TRN if applicable].

We may issue invoices, receipts, order confirmations, tax invoices, credit notes or refund confirmations electronically. You agree to receive these documents electronically.

10. Payment

Payment must be made using the payment methods offered at checkout. Payment is due in full before dispatch unless we expressly agree otherwise in writing.

Payments may be processed by Shopify, card networks, banks, digital wallet providers, buy-now-pay-later providers, fraud-prevention providers or other third-party payment processors. We do not control all payment decisions and we do not store your full card details on our own systems.

You represent and warrant that you are authorized to use the payment method provided, that the billing information is accurate, and that the transaction is lawful. We may cancel or hold an order where payment is declined, reversed, disputed, suspected as fraudulent, or subject to review by a payment provider.

If you initiate a chargeback, payment dispute or reversal without first giving us a reasonable opportunity to resolve the issue, we reserve the right to provide the payment provider with order records, delivery records, customer communications, product information, policy acceptance logs and other relevant evidence.

11. Shipping, delivery and international orders

Shipping and delivery are governed by our Shipping & Delivery Policy, which forms part of these Terms.

We ship only to countries, regions and addresses enabled by us at checkout or through the relevant platform. We may change available shipping destinations at any time.

All delivery timeframes are estimates only unless expressly guaranteed in writing. We are not liable for delay caused by couriers, customs, inspections, weather, force majeure, wrong addresses, inaccessible delivery locations, recipient unavailability, payment review, stock issues, public holidays, regulatory checks, import restrictions or events outside our reasonable control.

For international orders, you are responsible for ensuring that the products can be lawfully imported, delivered and used in the destination country. Unless checkout expressly states that duties and import taxes are included, you are the importer of record and are responsible for customs duties, import taxes, clearance charges, brokerage fees, documentation requests and any other import-related charges.

If an order is delayed, detained, rejected, seized, returned, destroyed or charged additional amounts by customs or another authority because of destination-country rules, customer refusal, unpaid duties, incorrect information, import restrictions or customer failure to clear the shipment, we are not responsible for resulting losses, delays or charges to the fullest extent permitted by law.

12. Returns, refunds and damaged products

Returns and refunds are governed by our Return & Refund Policy, which forms part of these Terms.

Because we sell food products, opened, unsealed, used, tampered-with, damaged, contaminated, improperly stored, expired or otherwise compromised products cannot be returned or exchanged except where required by applicable law.

You must inspect your order promptly upon delivery. Visible damage, missing items, wrong items or delivery shortages must be reported to us within 3 calendar days of delivery with your order number, clear photographs, packaging photographs and batch or lot information where available. To the fullest extent permitted by applicable law, products not reported within this period may be deemed accepted.

For suspected hidden product defects, you must contact us as soon as reasonably possible after discovering the issue and must retain the product, packaging, label, batch code and proof of purchase for assessment. Do not consume a product that appears damaged, contaminated, swollen, leaking, opened, unusually discolored, moldy or otherwise unsafe.

Refunds, replacements or credits are subject to verification. We may request evidence, inspect the product, consult the supplier or packer, review courier data, review batch records, or decline claims that are unsupported, late, inconsistent, fraudulent, abusive, caused by misuse, caused by improper storage, caused by customs handling, or based only on personal taste preference.

13. Promotions, discount codes and gifts

Promotions, discount codes, gifts, bundles, limited editions, free shipping offers and other offers are subject to availability, expiry dates, eligibility rules and any promotional terms stated by us.

We may modify, suspend, withdraw or refuse any promotion where permitted by law, including where there is misuse, fraud, technical error, stock issue, pricing error, customer ineligibility or conflict with other offers.

Unless we state otherwise, discount codes cannot be combined, cannot be exchanged for cash, cannot be applied retroactively, and do not apply to shipping, taxes, duties, gift cards or excluded products.

14. User content, reviews and feedback

If you submit reviews, comments, photographs, videos, messages, suggestions, ideas, feedback or other content to us or through the Website, you grant NUUR RITUALS a worldwide, royalty-free, sublicensable, transferable and perpetual licence to use, reproduce, edit, publish, translate, display, distribute and create derivative works from that content for customer service, marketing, quality-control, legal, operational and business purposes.

You must not submit content that is false, misleading, defamatory, unlawful, abusive, offensive, discriminatory, infringing, private, confidential, spam, malware, or unrelated to the product or service.

We may moderate, remove, refuse or edit user content where permitted by law. We are not required to publish any review or feedback.

15. Prohibited conduct

You must not misuse the Website, interfere with its operation, attempt unauthorized access, scrape content, copy designs, impersonate others, submit false information, abuse promotions, engage in fraudulent transactions, reverse engineer products or packaging, infringe intellectual property, upload malicious code, violate applicable law, or use our products or services for unlawful purposes.

We may restrict, suspend or terminate access to the Website, cancel orders, refuse service, report conduct to authorities, or take legal action where we believe these Terms or applicable law have been violated.

16. Intellectual property

The Website and all NUUR RITUALS names, marks, logos, artwork, label designs, packaging designs, tin designs, product names, product concepts, photographs, videos, text, graphics, icons, layouts, recipes, blends, copy, software and content are owned by, licensed to or controlled by NUUR RITUALS Trading CO. L.L.C S.O.C or its licensors and are protected by intellectual-property laws.

Nothing on the Website or in these Terms transfers any intellectual-property right to you. You receive only a limited, revocable, non-exclusive and non-transferable permission to access and use the Website for personal shopping purposes in accordance with these Terms.

All rights not expressly granted are reserved.

17. Third-party platforms, links and services

The Website may be hosted on Shopify or integrated with third-party platforms, payment providers, couriers, analytics providers, marketing tools, social media platforms, review tools, customer-support systems and other services.

We are not responsible for third-party websites, platforms, systems, downtime, terms, privacy practices, payment decisions, courier actions, customs systems or content that we do not control. Your use of third-party services may be subject to their own terms and policies.

18. Disclaimers

To the fullest extent permitted by applicable law, the Website, online services, content and non-mandatory product information are provided on an "as is" and "as available" basis. We do not guarantee that the Website will be uninterrupted, error-free, secure, virus-free, continuously available or free from technical issues.

To the fullest extent permitted by applicable law, we disclaim all warranties not expressly stated in these Terms or required by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy of non-mandatory information, and compatibility with your systems or expectations.

Nothing in these Terms excludes, restricts or limits any consumer right, product-safety obligation or other right that cannot legally be excluded, restricted or limited under applicable law.

19. Limitation of liability

To the fullest extent permitted by applicable law, NUUR RITUALS Trading CO. L.L.C S.O.C and its shareholder, owner, manager, director, officers, employees, contractors, advisers, suppliers, manufacturers, packers, fulfilment partners, payment processors, platform providers and couriers will not be liable for indirect, incidental, special, consequential, punitive or exemplary losses, loss of profit, loss of revenue, loss of business, loss of goodwill, loss of data, loss of opportunity, customs losses, import losses, reputational losses, or losses arising from delay, failed delivery, customer error, misuse, improper storage, allergic reaction where allergen information was disclosed, or events outside our reasonable control.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to any order, product, Website use or these Terms is limited to the amount actually paid by you for the specific product or order giving rise to the claim.

This clause does not limit liability that cannot be limited under applicable law, including liability for fraud, intentional misconduct, death or personal injury caused by negligence where such limitation is prohibited, or mandatory consumer/product-safety obligations.

20. Indemnity

To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless NUUR RITUALS Trading CO. L.L.C S.O.C and its shareholder, owner, manager, director, officers, employees, contractors, advisers, suppliers, manufacturers, packers, fulfilment partners and service providers from and against any claims, losses, liabilities, damages, penalties, fines, costs and expenses arising from your misuse of the Website or products, breach of these Terms, violation of law, infringement of third-party rights, false information, customs/import breach, payment dispute, chargeback, resale activity, user content, or failure to follow product labels, warnings, storage instructions or import requirements.

21. Force majeure

We are not responsible for failure or delay caused by events beyond our reasonable control, including acts of God, extreme weather, fire, flood, epidemic, pandemic, supply-chain disruption, labour dispute, customs action, government action, war, civil unrest, cyberattack, system outage, payment-provider issue, courier delay, transport disruption, shortage, supplier failure, port delay, regulatory change or other force majeure event.

22. Changes to these Terms

We may update these Terms from time to time by posting a revised version on the Website and updating the "last updated" date. The version in effect at the time you place an order applies to that order unless a change is required by law or applies to ongoing Website use.

You should review these Terms before each order. Continued use of the Website after changes are posted means you accept the updated Terms.

23. Governing law and dispute resolution

These Terms, the Website, and any order placed through the Website are governed by the laws of the United Arab Emirates as applicable in the Emirate of Dubai, without prejudice to any mandatory consumer rights that cannot be excluded under the laws of your country of residence.

To the fullest extent permitted by applicable law, the courts of Dubai, United Arab Emirates have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Website, products or orders. Before starting formal proceedings, you agree to contact us and give us a reasonable opportunity to resolve the issue through customer support.

24. Severability and interpretation

If any provision of these Terms is found invalid, illegal or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. The invalid provision will be interpreted, modified or replaced to achieve the closest lawful commercial effect.

Headings are for convenience only. References to the singular include the plural and references to the plural include the singular where the context requires.
